SynapCores Design Partner Terms & Conditions

This Agreement (“Agreement”) is entered into between SynapCores, Inc. (“SynapCores”) and the participant organization (“Design Partner”) in the SynapCores Design Partner Program (“Program”).

1. Purpose

   Design Partner agrees to participate in a non-commercial pilot of SynapCores’ AI-native database platform (“Software”) for the purpose of testing features, providing feedback, and supporting product development.

2. No Fees; No Production Warranty

   SynapCores provides access to the Software at no charge during the Program.

   The Software is provided "AS IS", with no warranties or guarantees of uptime, performance, or fitness for production workloads.

   Design Partner agrees the Software is not to be used for mission-critical production use without written consent from SynapCores.

3. Data & Security

   Design Partner is solely responsible for all data provided, processed, or stored during the Program (“Customer Data”).

   SynapCores agrees to use reasonable administrative, technical, and physical safeguards to protect Customer Data.

   However, SynapCores makes no guarantee against data loss, corruption, or unauthorized access during the Program and disclaims all liability for any such incidents.

4. Limitation of Liability

   To the maximum extent permitted by law: SynapCores shall not be liable for any indirect, incidental, consequential, special, or exemplary damages, including loss of profits, loss of data, or business interruption.

   In no event shall SynapCores’ total liability exceed $100 USD, regardless of legal theory or cause.

5. Confidentiality

   Each party may disclose confidential or proprietary information during the Program. Both parties agree to use reasonable care to protect such information and not disclose it to third parties.

6. Feedback & IP

   Design Partner may provide ideas, suggestions, or feedback (“Feedback”) about the Software. Design Partner grants SynapCores a non-exclusive, royalty-free, worldwide, irrevocable license to use such Feedback in any manner without restriction or obligation.

7. Term and Termination

   This Agreement is effective from the Effective Date and continues until either party terminates it with written notice.

   Upon termination, Design Partner agrees to cease using the Software and delete any related materials.

8. General

   This Agreement does not create any partnership, agency, or employment relationship.

   This Agreement is governed by the laws of the State of Delaware, without regard to its conflict of law principles.

By participating in the Program, the Design Partner acknowledges and agrees to these Terms and Conditions.
